Most acquisitions are won or lost before the share purchase agreement is signed. The value sits in what the due diligence finds and what it misses, in how the price is protected through warranties, indemnities, escrows and holdbacks, in whether the regulatory path has been mapped before the term sheet, and in how cleanly the target is absorbed after closing. We act for acquirers, sellers, promoters and investors across share acquisitions, business transfers and slump sales, mergers and demergers, and joint ventures, and we run the matter from the first term sheet through closing and post-closing integration.
For regulated buyers and targets such as banks, NBFCs, fintech and pharmaceutical businesses, an acquisition is as much a regulatory exercise as a commercial one. A bank acquiring a company in its own distribution chain has to work through the Banking Regulation Act and RBI's directions on bank investments, outsourcing and business correspondents. A pharmaceutical acquisition turns on the continuity of manufacturing licences, product registrations and quality approvals under the Drugs and Cosmetics Act, 1940. We draft to how the deal will be approved and integrated, not only to how it will be signed.
Our partners have sat on the acquirer's side of the table as heads of legal at leading private sector banks. That experience shapes how we negotiate: we know which representations a board and a regulator will ask about, which conditions precedent actually delay a closing, and which indemnities are worth the fight. The lawyers who run the diligence are the lawyers who draft and negotiate the documents, so nothing is lost between the findings and the contract.
