Most of what determines whether a business is well run legally never reaches a transaction. It sits in the constitutional documents and the capital structure, the board and committee charters and the delegation of authority, the related party approvals and the beneficial ownership disclosures, the ESOP plan, the policy suite from code of conduct through anti-bribery, whistleblower and POSH, and above all in the contracts: master services and outsourcing, distribution and referral, SaaS and licensing, supply and procurement, facility agreements and security. This is the firm's foundation and its point of continuous contact with clients, and most of our transactional work originates here.
